Another major area of the Firm’s work is corporate restructuring. The Firm has been involved in various mergers and acquisitions, private placements and strategic alliances between local and international companies where significant corporate restructuring was required. The Firm has assisted a number of multinational companies in buying major blocks of shares in local public and private companies. This work included conducting substantial and complex due diligence, creating restructuring models, drafting and participating in the negotiations of stock purchase agreements, shareholders agreements, filings with pertinent regulatory bodies. The Firm has represented various international and Turkish companies in their acquisitions of strategic interests in other companies involving detailed review and revision of assets and restructuring of liabilities. Some of the services that the Firm provides in this context include: legal and strategic counsel at every stage of corporate restructuring, mergers and acquisitions; the preparation of regulatory applications; and the negotiation and drafting of merger and acquisition documents including heads of agreements or memoranda of understanding, share transfer agreements, shareholders agreements, loan agreements, and the agreements of acquiring parties including cooperation with financial institutions and accounting firms.
